Claire Banks and Stephen Jarvis of our Corporate & Commercial team, Michael Taylor of our Residential Property team, and our Tax specialist Roger Harding advised our client on the sale of all of the shares of a Jersey registered SPV company.
This matter began as two property sales, but then became a share sale and this is when our Corporate & Commercial team and Tax specialist became involved. Our Corporate & Commercial team advised our client on the share sale (negotiating the share purchase agreement and ancillary documentation, such as the disclosure letter) with support from our Tax specialist, and our Residential Property team on the initial exclusivity agreement and the property specific due diligence.
